Terms & Conditions

Definitions

  • Agreement: The collection of documents governing cooperation between the Client and the Company, including proposals, these Terms, and any related materials.
  • Client Content: Any materials or data supplied by the Client for use within the Project.
  • Deliverables: The outputs or services defined in the Agreement.
  • Development Resources: All tools, code, software, frameworks, and technical solutions used or created by the Company, including structure, layout, navigation, and functional elements.
  • Final Deliverables: The completed and approved Deliverables provided to the Client.
  • Project: The agreed scope of work between the Client and the Company.
  • Services: All development and consulting services delivered under the Agreement.
  • Third-Party Materials: External assets or tools used within the Project.

Development Services

The Company agrees to provide Services according to the scope, requirements, and milestones defined in the Agreement.

Proposal / Scope of Work

Proposals remain valid for thirty (30) days unless otherwise specified. If not accepted within this timeframe, the Company may revise and resubmit them.

Compensation

  • Additional Costs: Third-party services such as hosting or licensing are billed separately.
  • Expenses: Approved expenses will be charged at actual cost.
  • Fees: The Client agrees to pay all fees according to the Project plan.

Payment

  • Invoices: Payment is due within five (5) days of invoice issuance unless otherwise agreed.
  • Payment Schedule: Payments follow the milestone structure outlined in the Agreement.

Changes to Project Scope

  • Change Requests: All changes must be submitted in writing. The Company will respond within five (5) business days with updated cost and timeline details.
  • Minor Changes: Adjustments under twenty percent (20%) of Project value may be billed at standard rates and may affect timelines.
  • Major Changes: Significant changes require a revised proposal before work continues.
  • Proposal Acceptance: Proposals must be approved within fourteen (14) business days or may be withdrawn.

Delays

  • Client Delays: Delays in providing materials or approvals may extend timelines.
  • Company Delays: The Company will notify the Client of any delays.
  • External Delays: Events beyond control may affect timelines without constituting a breach.

Evaluation and Acceptance

  • Testing: Deliverables will be tested using reasonable industry practices.
  • Approval Periods: The Client has seven (7) business days to review Deliverables. Revisions will be addressed within fourteen (14) days, followed by an additional review period.

Client Responsibilities

The Client agrees to:

  • Provide accurate and complete materials
  • Ensure content is suitable for use
  • Respond promptly to communications
  • Cover costs related to corrections

Accreditation and Promotion

The Company may include attribution and use Deliverables in portfolios or promotional materials unless otherwise agreed.

Confidential Information

Confidential information must not be disclosed without consent unless required by law or already publicly available.

Relationships

The Company operates as an independent contractor and may involve subcontractors while remaining responsible for Deliverables. No partnership or employment relationship is created.

Liability

The Company is not responsible for indirect damages. Total liability is limited to the amount paid by the Client.

Rights for Work Produced

The Client receives a non-exclusive license to use Deliverables as agreed. Ownership of internal Company resources remains with the Company.

Support Services

Support may be provided at additional cost unless included. Responsibility is void if Deliverables are modified by third parties.

Amendments

The Company may update these Terms at any time. Continued use of the website or services indicates acceptance of the current version.
